Integration with RedERP for business operations
Investor networking and fundraising tools
Analytics and reporting features

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

3. User Accounts

3.1 Account Registration

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Types

We offer different account types for Founders, Freelancers, Investors, and Administrators. Each account type has specific features and responsibilities as outlined in our platform documentation.

4. User Conduct

You agree not to:

Use the Services for any illegal purpose or in violation of any laws
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Upload or transmit viruses, malware, or any other malicious code
Interfere with or disrupt the Services or servers or networks connected to the Services
Attempt to gain unauthorized access to any portion of the Services
Harass, abuse, or harm another person or entity
Use the Services to collect or store personal data about other users without their consent
Engage in any form of automated use of the system without our express written permission
Use the Services to compete with us or for any commercial purpose not authorized by us

5. Content & Intellectual Property

5.1 Your Content

You retain all rights to any content you submit, post, or display on or through the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in connection with the Services.

You may not upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

6. Payments & Fees

6.1 Platform Fees

LeanSprintr charges service fees for certain features and transactions. All fees are described on our pricing page and are subject to change with notice.

6.2 Payment Processing

We use third-party payment processors to handle transactions. You agree to comply with their terms and conditions. We are not responsible for any errors or issues arising from payment processing.

6.3 Refunds

6.4 Taxes

You are responsible for all applicable taxes associated with your use of the Services. We may collect taxes where required by law.

7. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to use the Services will immediately cease.
All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.
We do not guarantee the quality, accuracy, or reliability of any content, information, or services obtained through the platform. You use the Services at your own risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEANSPRINTR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of $100 or the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless LeanSprintr and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which LeanSprintr is registered, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for matters related to intellectual property or confidentiality.

12. General Provisions

12.1 Entire Agreement

These Terms constitute the entire agreement between you and LeanSprintr regarding the Services and supersede all prior agreements and understandings.

12.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

12.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

12.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
